Andrew Mandelbaum is an associate in the Corporate Department and a member of the Private Funds Group. He advises asset managers and institutional investors across a wide variety of investment fund matters.
Andrew’s practice focuses on advising U.S. and non-U.S. sponsors of private investment funds, including real estate, buyout, credit and venture capital funds with respect to structuring, formation, fundraising, internal governance and regulatory compliance. In addition, he guides both emerging and established investment firm clients on key issues relating to the formation and operation of their asset management businesses, such as co-investment transactions and facilitating investments in portfolio companies. Other practice highlights include advising clients in complex secondary transactions and representing institutional investors in connection with primary transactions across asset classes and vehicle types.
Prior to joining Proskauer, Andrew was a corporate associate at Simpson, Thacher & Bartlett LLP.
Andrew received a B.A., cum laude, from Tulane University, and a J.D., cum laude, from the NYU School of Law, where he served as a Staff Editor of the Journal of Law and Business.
